2. Capital

 

The capital duty levied on Hong Kong Companies under the Companies Ordinance has been abolished from June 2012. The formation fee includes the stamp duty for HK$10,000 shares. However, clients can increase the number of shares according to their own needs.

 

 

3. Document to be Brought for Registration

 

- Founder Member’s (Shareholder) address proof, HKID/Passport copy and number of shares to be taken

- Director’s address proof, HKID/Passport copy

- Company secretary’s address proof, HKID/Passport copy

 

 

4. Formation Requirements

 

Setting up a Hong Kong Company requires at least one shareholder, one director (Any nationality and the director and the shareholder can be the same person/corporation) and one Company Secretary*. The Company Secretary should be a Hong Kong resident or a Hong Kong company. If the Company has only one Director, that Director shall not also be the Secretary of the Company.

(*We can be nominated as the client’s company secretary. Only HK$500 per year will be charged for this service.)

5. Registration Procedures

 

i. Fill in a company registration form and send the completed form to us (by fax, email or in person).

 

ii. After receiving the registering information, we will check the company names to ensure that the company name can be registered.

 

iii. We will prepare the necessary documents and contact clients to sign and pay in full.

 

iv. After the Company Registry approves our application and issue the Certificate of Incorporation, we will contact the clients.

 

v. Clients can use the documents prepared by us for bank account registration.
